Terms of Service

01Agreement to terms

These Terms of Service ("Terms") govern access to and use of the NOME platform, including the Console, the API, the command-line tools, the documentation, and any related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

02The Service

NOME provides controlled environments for building, testing, and simulating onchain applications. Environments are isolated from public networks. Nothing executed within an environment is broadcast to any public network by the Service, and results observed in an environment are not a guarantee of behavior on any public network.

We may modify, suspend, or discontinue features of the Service. Where a change materially reduces functionality you rely on, we will provide reasonable advance notice through the Console, the changelog, or email.

03Accounts and access

• You must provide accurate account information and keep it current.
• You are responsible for all activity under your account and API keys, and for keeping credentials confidential. Notify us promptly at security@nomefamily.lol if you suspect unauthorized access.
• Workspace administrators may add and remove members and control their permissions. Administrators are responsible for their members' compliance with these Terms.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

04Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation, or the rights of any third party.
• Attempt to access, probe, or disrupt environments, workspaces, or infrastructure that do not belong to you.
• Circumvent limits, access controls, or isolation boundaries, or reverse-engineer non-public components of the Service.
• Present outputs from an environment as results obtained on a public network, or use the Service to misrepresent the state, history, or behavior of any public network.
• Upload malicious code or content that infringes intellectual property rights.
• Resell or sublicense the Service without our written agreement.

Security research within your own workspace is permitted and encouraged. See Responsible Disclosure.

05Your content

You retain all rights to the specifications, artifacts, scenarios, and other content you submit to the Service, and to the environment data generated from it ("Your Content"). You grant NOME a limited license to host, process, and display Your Content solely as necessary to provide the Service to you.

You are responsible for Your Content and represent that you have the rights necessary to submit it. We do not use Your Content to train machine-learning models or share it with other customers.

06Intellectual property

The Service, including its software, design, documentation, and trademarks, is owned by NOME and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you. Open-source components distributed with our SDKs and CLI are governed by their respective licenses.

If you provide feedback about the Service, you grant us a perpetual, royalty-free license to use it without obligation to you.

07Fees and payment

Some features of the Service require a paid plan. Fees, billing periods, and included usage are described at the time of purchase. Unless stated otherwise, fees are billed in advance, are non-refundable, and exclude applicable taxes.

Usage beyond plan limits may be billed at the rates described in your plan. We may suspend access to paid features if fees are overdue by more than 14 days after notice.

08Confidentiality and privacy

Our collection and use of personal information is described in the Privacy Policy, which forms part of these Terms. Each party will protect the other's confidential information with at least the care it uses for its own, and will use it only as necessary to perform under these Terms.

09Availability and support

We work to keep the Service available and publish current status at /status. Scheduled maintenance will be announced in advance where practical. Service-level commitments, if any, are described in your plan or a separate agreement. Support is provided through the channels listed in the Console.

10Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT BEHAVIOR OBSERVED IN AN ENVIRONMENT WILL MATCH BEHAVIOR ON ANY PUBLIC NETWORK.

You are solely responsible for decisions you make based on results obtained from the Service, including decisions to deploy software to any public network.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12Indemnification

You will defend and indemnify NOME against claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law, provided we notify you promptly and cooperate reasonably in the defense.

13Termination

You may stop using the Service and delete your workspace at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or if continued provision would create a security or legal risk. Where practical, we will provide notice and an opportunity to export Your Content. Sections that by their nature should survive termination will survive.

14General

• Governing law. These Terms are governed by the laws of the jurisdiction specified in your order form or, absent one, the jurisdiction in which NOME is organized, without regard to conflict-of-law principles.
• Changes. We may update these Terms. Material changes will be announced at least 14 days before taking effect. Continued use after that date constitutes acceptance.
• Entire agreement. These Terms, the Privacy Policy, and any order form constitute the entire agreement between you and NOME regarding the Service.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
